Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Neotask application, platform, and related services (the "Service") operated by Neotask, Inc. ("Neotask," "we," "us," or "our"), a Delaware corporation. By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Neotask is a unified AI agent platform that enables users to deploy, manage, and orchestrate AI-powered agents across messaging channels, voice interfaces, automation workflows, and integrations. The Service includes the Neotask desktop application (macOS, Windows, Linux), web dashboard, iOS application, local gateway runtime, and all associated tools, skills, and orchestration features. Neotask is a platform - your subscription grants access to the software and infrastructure, while AI token consumption is metered and billed as usage.

2. Eligibility

You must be at least 13 years of age (or the applicable age of consent in your jurisdiction) to use the Service. The Service is not directed to children. By creating an account, you represent that you meet this requirement and that all information you provide is accurate and complete.

3. Account Registration

You may create an account using Apple Sign-In or Google Sign-In. Desktop access requires activation with a valid license key. You are responsible for maintaining the security of your account, license key, and all credentials associated with your agents. You agree to notify us immediately of any unauthorized access. One natural person may maintain one account.

5. AI-Generated Content

The Service facilitates interaction with third-party AI models. You acknowledge and agree that:

6. Third-Party Platform Credentials

When you connect agents to third-party platforms (Telegram, Discord, Slack, WhatsApp, and others), you provide credentials such as bot tokens, OAuth grants, or session links. You are solely responsible for:

You may revoke or disconnect any platform credential at any time through the Neotask dashboard or the respective platform's settings.

7. Intellectual Property

The Neotask name, logo, branding, and all associated intellectual property are owned by Neotask, Inc. You may not use our trademarks without prior written consent.

You retain all rights to the content you create and the configurations you make using the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.

8. Service Availability

The Service is provided on an "as available" basis. We strive for high availability and publish live service health at neotask.ai/status, but we do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

9. Fees and Payment

Your subscription to Neotask provides access to the software platform, including all features, integrations, tools, and infrastructure within your selected plan tier. The subscription fee covers access to the software suite only.

AI model usage tokens (for providers such as OpenAI, Anthropic, and Google) are not included in the subscription price. Token consumption is billed separately based on actual usage. A 20% platform fee applies to all token usage, including when using your own API keys (BYOK mode). All new accounts receive a one-time $5 signup credit applied toward token usage. You may provide your own API keys from supported AI model providers, or purchase additional credits through the Neotask platform.

All subscription fees are non-refundable except as required by applicable law. We reserve the right to change pricing, subscription tiers, and the features or services included in each tier at any time with reasonable advance notice. Changes to pricing or tier composition will not affect the current billing period of existing subscribers. Detailed usage and cost tracking is available through the dashboard at all times.

10. Business Customers, Data Processing, and HIPAA

If you use the Service on behalf of a business to process personal data of your own customers or contacts (for example, leads collected on websites the product generates for you, employee directories, or messages relayed from your connected channels), you are the data controller of that data and Neotask acts as your processor. A Data Processing Agreement (DPA) incorporating the EU Standard Contractual Clauses is available at [email protected], and our current subprocessors are published at neotask.ai/subprocessors. You are responsible for having a lawful basis for that data and for providing any required notices to your own users.

For healthcare customers, Neotask offers a HIPAA Business Associate Agreement (BAA), available at [email protected]. You must not use the Service to create, receive, maintain, or transmit Protected Health Information (PHI) unless and until a BAA has been signed with us and your workspace has been provisioned in our dedicated HIPAA-eligible environment. Use of the general platform for PHI is prohibited.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEOTASK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE FREE OF ERRORS OR HARMFUL COMPONENTS.

13. Indemnification

You agree to indemnify, defend, and hold harmless Neotask and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your agents' interactions on connected platforms, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately, and your license key will be deactivated. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated by posting the updated Terms within the app and on the website, and by updating the "Effective Date" above. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
